Terms of Service

1. Definitions

• "Platform" means the FlightControl web application and API, including all features, modules, and updates.
• "Tenant" means a pilot training school or organisation that has subscribed to the Platform and has its own isolated workspace.
• "User" means any individual (administrator, instructor, student, finance officer, or viewer) who accesses the Platform under a Tenant account.
• "Subscription" means the agreement to use the Platform on a recurring payment basis in exchange for access to features specified in the chosen Plan.
• "Plan" means a subscription tier (Starter, Growth, or Enterprise) with defined features, student caps, and optional add-on modules.
• "Data" means all information, content, and files that Users upload, generate, or store within the Platform.

2. Acceptance of terms

These Terms apply to all Users of the Platform. By creating an account, accepting an invitation to join a Tenant workspace, or using any part of the Service, you agree to these Terms and our Privacy Policy, which is incorporated by reference.

If you are using the Platform on behalf of a Tenant (organisation), you represent and warrant that you have authority to bind that organisation to these Terms.

3. Description of the service

FlightControl provides cloud-based software for pilot training school management, including but not limited to:

• Student enrolment, scheduling, and attendance management
• Flight log management with cryptographic signing and integrity verification
• Simulator session logging
• Ground school and learning management (LMS), including course authoring, quizzes, and assessments
• Programme compliance tracking and audit pack generation
• Certificate evaluation, issuance, and public verification
• Financial management: quotes, invoices, payments, and training wallets
• Instructor and staff management
• Reporting, data exports, and integrations
• Document management for regulatory documents

We reserve the right to modify, suspend, or discontinue features at any time with reasonable notice.

4. Accounts and access

4.1 Account registration

To use the Platform, a Tenant must register and create a workspace. Each Tenant is assigned a unique subdomain. You must provide accurate and complete information during registration and keep it up to date.

4.2 Account security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately if you suspect unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account.

4.3 Acceptable use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable South African or international laws
• Upload or transmit malware, viruses, or harmful code
• Attempt to gain unauthorised access to any part of the Platform or another Tenant's data
• Use automated tools to scrape, mine, or extract data from the Platform without written permission
• Impersonate any person or entity or misrepresent your affiliation
• Use the Platform to transmit spam, phishing content, or unsolicited commercial communications
• Reverse-engineer, decompile, or attempt to derive the source code of the Platform

5. Subscription plans and billing

5.1 Plans and pricing

Access to the Platform requires a paid Subscription. Pricing is set out on our website and within the Platform. Plans include a defined student cap and access to specific features and modules. We reserve the right to change pricing with 30 days' notice.

5.2 Payment

Subscription fees are billed monthly or annually in advance, in South African Rand (ZAR) inclusive of Value Added Tax (VAT) at the current rate (15%). Payment is processed via PayFast, a South African payment gateway. We do not store card or banking details.

5.3 Failed payments

If a payment fails, we will attempt to notify you and retry. After a grace period of 7 days, your Tenant account may be suspended. During suspension, data is retained for 90 days. After 90 days, your data may be permanently deleted.

5.4 VAT

All prices are inclusive of South African VAT at 15% where applicable. If your organisation is VAT-registered, please provide your VAT number when setting up your account.

6. Free trial

We offer a 14-day free trial for new Tenants. During the trial, you have access to Platform features within the Plan you selected. No credit card is required to start a trial. At the end of the trial period, your account will automatically transition to a paid Subscription or be suspended. We may modify or discontinue the free trial at any time.

7. Cancellation and refunds

7.1 Cancellation

You may cancel your Subscription at any time by contacting us at info@flightcontrol.co.za. Cancellation takes effect at the end of the current billing period. You retain access to the Platform until the end of the period for which you have paid.

7.2 Refunds

Subscription fees paid in advance are non-refundable except where required by applicable South African consumer protection law (Consumer Protection Act, 68 of 2008). If you believe you are entitled to a refund under applicable law, please contact us within 30 days of the disputed charge.

7.3 Data retrieval after cancellation

After cancellation, we will retain your data for 90 days during which you may request a data export. After 90 days, data is permanently deleted. We are not responsible for data loss that occurs after this period.

8. Data ownership and privacy

You own all Data that you upload to the Platform. By uploading Data, you grant us a limited, non-exclusive licence to host, store, process, and display the Data solely to provide the Service. We do not claim any ownership over your Data.

Our collection and use of personal information is governed by our Privacy Policy, which complies with POPIA.

9. Intellectual property

The Platform, including all software, design, trademarks, and content created by us, is owned by Datanetics (Pty) Ltd and protected by South African and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

10. Regulatory compliance

FlightControl is designed to assist pilot training schools in managing SACAA-required training records. However, we make no representation or warranty that the Platform satisfies all current SACAA regulatory requirements. You are responsible for ensuring that your school's records and processes comply with all applicable aviation regulations. We are not liable for any failure to obtain or maintain regulatory approvals or certifications.

11. Availability and service levels

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free access. The Platform is provided on an "as is" and "as available" basis. Planned maintenance will be communicated in advance where possible. We are not liable for losses caused by outages, maintenance windows, or technical failures beyond our reasonable control.

12. Limitation of liability

To the fullest extent permitted by South African law, FlightControl's aggregate liability to you for any claim arising out of or relating to these Terms or the Platform (whether in contract, delict, or otherwise) is limited to the total fees paid by you to us in the 12 months preceding the claim.

We are not liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of revenue, profit, data, or business opportunities
• Failure to meet regulatory requirements
• Losses arising from User error or misuse of the Platform
• Losses caused by third-party service providers (PayFast, cloud storage, email providers)

13. Indemnification

You agree to indemnify and hold harmless FlightControl, its directors, employees, and agents from and against any claims, damages, losses, and costs (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

14. Third-party integrations

The Platform integrates with third-party services (PayFast, Xero, Sage, Pastel, QuickBooks, Zoom, Google reCAPTCHA, and others). Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

15. Modifications to the terms

We may update these Terms at any time. We will notify you of material changes by email and by displaying a notice in the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your Subscription before the effective date.

16. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. You irrevocably submit to the exclusive jurisdiction of the South African courts for any disputes arising out of or in connection with these Terms or the Platform.

17. Dispute resolution

In the event of a dispute, both parties agree to attempt in good faith to resolve the matter amicably by negotiation within 30 days of written notice. If unresolved, the dispute shall be referred to mediation before either party initiates litigation. Nothing in this clause prevents a party from seeking urgent injunctive relief.

18. Entire agreement

These Terms, together with the Privacy Policy and any Order Forms or Plan details agreed at signup, constitute the entire agreement between the parties in relation to the Platform and supersede all prior agreements, representations, and understandings.
